Terms of Use

Welcome to Zarla. These Terms of Use apply to anyone who visits our Website or uses our Services. We offer a range of services and features, so some terms may not be relevant to the specific services you use.

1. Introduction

1.1 Our Purpose

Zarla helps small businesses create a complete online presence. You describe your business, and Zarla’s artificial intelligence generates a full website — copy, layout, design, and SEO — which you can then edit simply by chatting with it and publish to your own custom domain. Alongside the website builder, Zarla bundles a suite of small-business tools, including a CRM and lead inbox, bookings and calendar sync, invoicing and payments, forms, SEO tools, social and Instagram feeds, and a blog. The websites, content, and other materials you create using the Services are collectively referred to as User Platforms.

1.2 Legal Agreement

These Terms of Use, together with our Privacy Policy, form a legal agreement between you and Zarla Inc., its affiliates, subsidiaries, and divisions (collectively, “Zarla,” “we,” “us,” and “our”). By using our Services, you agree to be bound by these Terms of Use and our Privacy Policy.

We may, from time to time, modify these Terms of Use. We will notify you of any material changes at least 30 days before they take effect, by posting a notice on the Services or by sending you an email. The updated Terms will take effect after the notice period and apply on a going-forward basis. Your continued use of the Services after the effective date constitutes your acceptance of the new Terms. For material changes, we may require your affirmative acceptance before the changes take effect.

1.3 Age Requirement

You must be at least 16 years old to use the Services. If you are between 16 and the age of majority in your jurisdiction (typically 18), you must have the permission of a parent or legal guardian to use the Services. By using the Services, you represent that you meet the applicable age requirements.

1.4 Language

These Terms of Use are written in English. Any translation is provided solely for your convenience; the English-language version is the controlling version, and it governs in the event of any conflict or inconsistency. The availability of these Terms in another language does not alter the governing law or dispute-resolution provisions set out below.

2. Services

2.1 Plans

Zarla offers three plans. The Free plan is a build-and-preview sandbox: you can generate, edit, and preview a site, but you cannot publish it to a live domain. The Premium and Business plans are paid subscriptions that unlock publishing, a custom domain, and the bundled small-business tools. Free Services are provided as-is, with no warranty, and Zarla reserves the right to modify or discontinue them at any time. Paid Services are subject to the payment terms in Section 5.

2.2 Templates

Zarla provides pre-designed website templates and design systems. You may customize these for your own User Platforms under a limited, non-exclusive license. Zarla retains ownership of the templates. Commercial resale of templates, or extraction, isolation, or separate reuse of individual template components — including design elements, code, or AI-generated content — is prohibited without Zarla’s express prior written authorization. You may not use automated tools, scripts, AI systems, or other means to analyze, extract, reverse engineer, or recreate template components or design patterns. Any systematic attempt to deconstruct or replicate template designs, whether manual or automated, constitutes a violation of these Terms and may result in immediate termination of service and legal action.

2.3 AI-Powered Tools

Many of Zarla’s Services incorporate artificial intelligence (AI) and machine learning to create AI-Generated Content — including your site copy, layout, images, and edits made through chat. When using these tools, you acknowledge and agree that:

  • Content generated by the AI may not be unique, and Zarla does not guarantee its novelty, accuracy, or fitness for any particular purpose.
  • You are responsible for reviewing the accuracy, quality, and legality of AI-Generated Content before you publish or otherwise use it.
  • You retain ownership rights in the final output you choose to use, but because the AI may generate similar outputs for other users, we cannot grant you exclusive rights to any AI-Generated Content.
  • Any inputs, prompts, or feedback you provide may be used to test, improve, and develop our AI systems. While we make reasonable efforts to avoid retaining sensitive personal information in this process, you should not include sensitive or confidential information in your inputs.
  • The AI may occasionally generate content that appears to reference real people, businesses, or events. Zarla does not guarantee the accuracy of such references, and you must independently verify any factual claims before use.
  • We grant you a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display AI-Generated Content for your own lawful purposes. Zarla will not be liable for any claims, damages, or losses arising from your use, reliance on, or publication of AI-Generated Content.

2.4 Resource Usage and Fair Use

The Services are subject to plan-based limits on resources such as storage, bandwidth, AI usage, published pages, media, and form submissions, as described for your plan in the product. We monitor resource usage and may notify you as you approach a limit. When a limit is reached, related features may be temporarily disabled until usage decreases or your plan is upgraded. Zarla may suspend or terminate accounts that consistently exceed resource limits, attempt to circumvent them (including by creating multiple accounts), or use automated scripts or bots to distribute usage. We may modify these limits from time to time and will provide reasonable notice of any change that reduces them.

2.5 Domains, Publishing, and CDN

Published Zarla sites are served over a global content delivery network (Google Cloud) with automatic SSL certificates on custom domains. Custom domains are available on paid plans. Domain registration and connection services are provided through third-party partners, including our domain registrar and domain-connection providers. By registering, renewing, transferring, or connecting a domain through Zarla, you agree to be bound by the applicable registrar’s registration agreement in addition to these Terms, and a breach of that agreement is a breach of these Terms. Any domain you connect must not violate our acceptable-use policies or the rights of any third party.

3. User Content

3.1 Ownership

You retain ownership of the User Content you create and upload to the Services, including AI-Generated Content. By uploading or creating User Content, you grant Zarla a limited, worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display such content for the purpose of operating, providing, and improving the Services, including a perpetual license for User Content you choose to share publicly through the Services.

3.2 Responsibility

You are solely responsible for your User Content and the consequences of posting it. You represent that you have the necessary rights to post the content and that it does not infringe any third-party rights or violate any law. When uploading content that contains personal information (such as names and images), you must have the consent of the individuals involved and provide any disclosures required by privacy laws such as the GDPR and CCPA.

3.3 Prohibited Uses

You may not use the Services to create, upload, or share content that:

  • Is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, invasive of another’s privacy, hateful, or discriminatory;
  • You do not have the right to make available under any law or contractual obligation;
  • Infringes any patent, trademark, trade secret, copyright, or other proprietary right of any party;
  • Comprises unsolicited or unauthorized advertising, junk mail, spam, chain letters, or pyramid schemes;
  • Contains viruses or any code designed to interrupt, destroy, or limit the functionality of any software or hardware; or
  • Circumvents, disables, or interferes with security-related features of the Services or attempts to gain unauthorized access to systems, networks, or other users’ accounts.

You may not engage in automated or systematic account creation, or create multiple accounts to circumvent service limitations or trial periods. Zarla reserves the right, but has no obligation, to review, monitor, or remove any User Content that we determine in our sole discretion violates these Terms, and to suspend or terminate accounts for repeated or egregious violations.

3.4 Content Moderation and Takedown

If you believe any User Content infringes your copyright, you may submit a takedown notice to Zarla’s designated copyright agent at dmca@zarla.com, following the process described in our Copyright & DMCA Policy (which includes the designated agent’s full contact details, the required contents of a valid notice, and the counter-notice process). In accordance with the Digital Millennium Copyright Act, Zarla will, in appropriate circumstances, terminate the accounts of users who are repeat infringers.

If you believe any User Content is otherwise unlawful or violates these Terms — for example a scam, phishing, malware, or impersonation — you may submit a report to abuse@zarla.com following the steps on our Report Abuse page. Zarla will investigate such claims and take appropriate action, which may include removing the disputed content or suspending the responsible account. Zarla reserves the right to refuse any request it determines to be unfounded or abusive.

4. Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials;
  • Using a strong password and enabling two-factor authentication where available;
  • Immediately notifying us of any unauthorized access; and
  • Ensuring that anyone accessing shared accounts complies with these Terms of Use.

You may report suspected security incidents to hello@zarla.com. Zarla is not responsible if someone else accesses your account using credentials obtained from you. Failure to maintain reasonable account security may result in suspension or termination.

5. Payment Terms

5.1 Payment Methods

Paid Services are billed through our payment processor, Stripe. You authorize Zarla to charge your selected payment method for the applicable fees. Card details are handled by Stripe, a PCI-compliant payment processor; Zarla does not store your full card number.

5.2 Free Trials

Any free trial period begins on the date of sign-up. Where a valid payment method is required to start a trial, you will not be charged until the trial period ends, at which point your account automatically converts to a paid subscription unless cancelled. Zarla reserves the right to limit free-trial eligibility and to prohibit combinations of trials or the creation of multiple accounts to extend trial periods.

5.3 Billing and Automatic Renewals

Paid Services are billed in advance, whether monthly or upfront for a multi-month term. Monthly subscriptions automatically renew each month unless cancelled before the renewal date. Multi-month plans do not renew for another multi-month term: at the end of your term, your subscription continues as a monthly subscription at the then-current monthly rate for your plan, unless cancelled. We show you this rate at purchase and remind you by email before your first monthly charge. You may cancel at any time; if you cancel before the end of the current billing period, you will not receive a refund for any unused portion except as set out in Section 5.5 or as required by law.

5.4 Pricing Changes

Zarla reserves the right to change the fees for Paid Services and will provide at least 30 days’ notice of any price increase, by email to the address associated with your account or by posting on our Website. Price changes take effect at the start of the next billing period following the notice period. If you do not agree to a price change, you may cancel before it takes effect; continued use after the change constitutes acceptance of the new price.

5.5 Refunds

We offer a 30-day, no-questions-asked refund on paid plans. If you cancel within 30 days of a charge, you are eligible for a full refund of that charge. Because the Free plan involves no purchase, there is nothing to refund on Free. Except as required by applicable law, fees are non-refundable after 30 days from the date of the charge. 6. Intellectual Property

6.1 Zarla Intellectual Property

Zarla and its licensors own all right, title, and interest, including all Intellectual Property Rights, in and to the Services. Except as expressly stated, these Terms do not grant you any Intellectual Property Rights in the Services.

6.2 User Content

You retain ownership of the User Content you create and upload, including AI-Generated Content, subject to the licenses granted to Zarla in Section 3.1. Zarla will not sell your User Content or create derivative works from it for commercial purposes without your consent.

6.3 Feedback

If you provide Zarla with any feedback, comments, or suggestions (“Feedback”), you grant Zarla a worldwide, perpetual, irrevocable, royalty-free license to use and incorporate the Feedback for any purpose without obligation or compensation to you.

6.4 Competitive Use Restrictions

You may not use the Services, directly or indirectly, to develop, test, support, or operate any competing product or service, nor engage in systematic analysis, collection, or extraction of AI-Generated outputs, platform features, or service characteristics for competitive purposes. For the purposes of this section, a “competing” product or service means any product or service offering substantially similar functionality to Zarla’s Services, including website creation tools and AI-powered design tools.

7. Accessibility

You are solely responsible for ensuring that your User Platform complies with all applicable accessibility laws and regulations, including the Americans with Disabilities Act (ADA), Section 508 of the Rehabilitation Act, and similar laws. While Zarla provides tools and features that may assist in creating accessible content, Zarla does not represent or warrant that using these features will result in compliance with any accessibility law or standard, and the ultimate responsibility for compliance rests solely with you. You agree to indemnify and hold Zarla harmless from any claims arising out of the accessibility of your User Platform. You are strongly encouraged to seek independent legal and accessibility expertise.

8. Third-Party Services and Affiliates

The Services may contain links to, or integrate with, third-party websites or resources (“Third-Party Services”), and Zarla may participate in affiliate-marketing programs. You are solely responsible for evaluating and using any Third-Party Services, including understanding their terms and privacy practices. Zarla does not endorse or guarantee the availability, security, performance, or legality of any Third-Party Service, and you assume all risks associated with using them.

9. Disclaimer of Warranties

The Services are provided “as is” and “as available” without warranty of any kind, express or implied. To the maximum extent permitted by law, Zarla disclaims all warranties, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and does not warrant that the Services will be uninterrupted or error-free, that defects will be corrected, or that the Services are free of viruses or other harmful components. Zarla makes no warranties regarding the accuracy, completeness, reliability, or uniqueness of any AI-Generated Content, or the performance of any third-party integration. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

10. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Zarla, its affiliates, officers, directors, employees, agents, suppliers, or licensors be liable for any indirect, consequential, special, incidental, punitive, or exemplary damages, or for any loss of profits, data, business, revenue, goodwill, anticipated savings, or business opportunity, or for business interruption or reputational harm, whether based on warranty, contract, tort (including negligence), product liability, or any other legal theory, and whether or not Zarla has been advised of the possibility of such damages.

To the maximum extent permitted by law, Zarla’s total aggregate liability to you for any and all claims relating to the Services shall not exceed the total amount you actually paid to Zarla for the Services during the twelve (12) months immediately preceding the first event giving rise to the liability. You acknowledge that this limitation is an essential part of these Terms and that the fees charged by Zarla reflect this allocation of risk. Each limitation applies notwithstanding any failure of essential purpose of any limited remedy. Where the exclusion or limitation of liability is not permitted by law, Zarla’s liability shall be limited to the greatest extent permitted.

The Services are not designed or intended for high-risk activities where failure could lead to death, personal injury, or severe environmental damage (such as medical, emergency-response, or life-support systems), and you agree not to use the Services for any such activity.

11. Service Level

Zarla targets 99.9% uptime for Paid Services, excluding scheduled maintenance and factors outside our reasonable control. Any service credits for verified outages are provided at our discretion, must be requested within 30 days of the incident, and are limited to the fees you paid for the Services during the 12 months preceding the event. Service credits are your sole and exclusive remedy for any failure to meet these service levels. We make no uptime guarantee for Free Services.

12. Data Privacy and Security

We comply with applicable data-protection laws, including the GDPR and the CCPA. Our Privacy Policy explains what personal data we collect, how we use and disclose it, where it is stored (primarily in the United States), the sub-processors we rely on, and the rights and choices available to you. By using the Services, you acknowledge and consent to the collection, use, and processing of your personal data as described in the Privacy Policy. We maintain administrative, technical, and physical safeguards designed to protect your data, including encryption of data in transit via TLS; however, no system is completely secure, and we cannot guarantee absolute security. You may exercise your data rights, or ask a privacy question, by contacting us at hello@zarla.com.

13. Indemnification

You agree to indemnify, defend, and hold harmless Zarla, its affiliates, officers, directors, employees, agents, suppliers, and licensors from any and all third-party claims, liability, damages, and costs (including reasonable attorneys’ fees) arising from your breach of these Terms, your use of the Services, your violation of any law, or your infringement of any right of any person or entity. Zarla agrees to indemnify and hold you harmless from any claim arising from Zarla’s infringement of third-party Intellectual Property Rights.

14. Mandatory Arbitration and Class Action Waiver

14.1 Arbitration

You and Zarla agree that any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Services (“Disputes”) will be settled by binding arbitration, except that each party retains the right to bring an individual action in small-claims court and to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of that party’s intellectual property rights.

14.2 Class Action Waiver

Any arbitration or court proceeding will take place on an individual basis; class arbitrations and class actions are not permitted. YOU UNDERSTAND AND AGREE THAT, BY ENTERING INTO THESE TERMS, YOU AND ZARLA ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING OF ANY KIND.

14.3 60-Day Right to Opt Out

You have the right to opt out of the provisions of this Section by sending written notice of your decision to hello@zarla.com within sixty (60) days after first becoming subject to this Section. Zarla will provide 30 days’ notice of any changes to this Section, which will otherwise apply prospectively only.

15. Governing Law and Severability

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-law provisions. If any provision of these Terms is held to be invalid or unenforceable, that provision shall be struck and the remaining provisions shall be enforced. If you are a resident outside the United States, you may also have rights under the laws of your country.

16. Modification and Termination

Zarla reserves the right at any time to modify or discontinue, temporarily or permanently, the Services (or any part of them), with or without notice. These Terms are effective until terminated by you or by us. We may terminate or suspend your account and refuse access to the Services at any time, including for breaches of these Terms, with or without notice. Termination may include deletion of your account and User Content. Any provision that by its nature should survive termination — including those governing User Content, Intellectual Property, disclaimers, limitation of liability, data privacy, indemnification, arbitration, governing law, and definitions — will survive.

In the event of a merger, acquisition, corporate reorganization, or sale of all or substantially all of Zarla’s assets, these Terms and your account data may be transferred to the successor entity, and all rights, licenses, and obligations under these Terms will continue in effect. You may not assign or transfer your rights under these Terms without Zarla’s prior written consent.

17. Export Controls and Brand Protection

You agree to comply with all applicable export-control laws and regulations, and you may not use the Services if you are located in an embargoed country or are on any U.S. government list of prohibited persons. You may not use Zarla’s name, logos, or trademarks in any way that suggests partnership with or endorsement by Zarla without our prior written consent.

18. General Terms

These Terms of Use, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Zarla Inc. and govern your use of the Services, superseding any prior agreements. No waiver of any term shall be deemed a further or continuing waiver of that or any other term. These Terms are intended for the benefit of you and Zarla, and no third party shall have any rights under them. Neither party shall be liable for any failure or delay in performance (other than payment obligations) caused by events beyond its reasonable control (“Force Majeure”), including natural disasters, war, terrorism, civil unrest, government action, public health events, and infrastructure or telecommunications failures.

19. Definitions

The following capitalized terms have the meanings assigned below. Other capitalized terms are defined in the context in which they are used.

“Account”
A registered user account that provides access to the Services.
“AI-Generated Content”
Any content — including text, images, code, or designs — created or produced by Zarla’s artificial-intelligence or machine-learning systems.
“Paid Services”
Any Services provided by Zarla for which a fee is charged (the Premium and Business plans).
“Free Services”
Any Services provided by Zarla without charge, including the Free build-and-preview sandbox plan.
“Personal Data”
Any information relating to an identified or identifiable natural person, as defined by applicable data-protection laws.
“Services”
All products, services, features, software, websites, and applications provided by Zarla.
“User Content”
Any content you submit, upload, publish, or transmit through the Services.
“User Platform”
Any online presence created using the Services, including websites, landing pages, and online stores.
“Website”
Any website directly operated by Zarla, including zarla.com and its subdomains. This does not include user-created sites, which are covered by “User Platform.”
